AC Central Registered User Terms and Conditions

Purpose

The purpose of these Terms and Conditions is to define the contractual relationship between Onward Media, an Illinois not-for-profit corporation, which is the provider of AC Central, and you, the user. While it may be tempting to skip through these Terms and Conditions, we encourage all users to review them carefully before using AC Central (sometimes simple “the App” or the “Website”).

Definitions

For the purposes of these Terms and Conditions, the follow words will bear these specific definitions when capitalized:

Account refers to a unique account created to access the App and/or the Website.

Feedback means written communication from users to Onward Media relating to the App or Website, including ideas, complaints, suggestions, and/or positive remarks.

Onward Media refers to Onward Media, an Illinois not-for-profit corporation, which is the provider of the App and Website and is controlled by the Apostolic Christian Church of America. Sometimes referred to as “We", "Us" or "Our."

Terms and Conditions refers to these Terms and Conditions, which form the entire agreement between You and Onward Media regarding the use of the App/Website. Sometimes referred to simply as “Terms.”

Third-party Service means any content, data, websites, information, products and/or services provided by a party other than Onward Media that may be displayed, included or made available by or through the App/Website.

You (or “Your”) refers to the individual reading these Terms and Conditions.

App Services

AC Central is an app primarily designed to provide spiritually enriching content to members and attendees of the Apostolic Christian Church of America. The goal of the services provided by this app is to provide easy access to congregation sermons and information, recordings of events and other spiritual teachings, and other content related to the church.

Contractual Relationship and Conditions of Use

Acceptance of these Terms and Conditions creates a binding contract between You and Onward Media. These Terms set forth the rights and obligations of You and Onward Media as it relates to Your use of the App and Website, as well as what the organization expects from You as a user and what You can expect from Onward Media as the provider. All rights conferred upon Onward Media through these Terms shall also be conferred upon the Apostolic Christian Church of America, which controls Onward Media.

As a general matter, Your access to and right to use the App is conditioned on Your acceptance of and compliance with these Terms. By using the App, You agree to be bound by these Terms. If You disagree with any part of these Terms and Conditions, you should not click “Agree” at the end of these Terms, and you should not use the App/Website.

Privacy Policy

Onward Media respects Your privacy and permits You to control the treatment of Your personal information. A complete statement of Onward Media’s current privacy policy can be found by clicking here. Onward Media’s privacy policy is expressly incorporated into these Terms and Conditions by this reference. Please read it carefully before using the App.

User Accounts and Passwords

When You create an Account, You will be asked to input Your first and last name, email address, and the name of Your home church. While users have the ability to input false information when creating an Account, Onward Media reserves the right to terminate any Accounts that it learns have been created using false information.

You are responsible for safeguarding your Account password. You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Prohibited Uses of AC Central

The following uses are strictly prohibited:

·      Introducing malware or viruses of any kind;

·      Hacking Our system in any way, including jailbreaking or bypassing our protective measures or software;

·      Spamming, hacking, or bypassing Our systems or protective measures;

·      Fraudulent use of the App or any content on the App, including creation of fake Accounts;

·      Generating any content through the App as though it was originated by Onward Media or Onward Media when it was not.

Intellectual Property

AC Central and its original content (excluding content provided by You or other users), features, and functionality are and will remain the exclusive property of Onward Media and/or the Apostolic Christian Church of America. When You use the App, Your content remains Yours, and You will retain any intellectual property rights that You have in Your content.

AC Central is protected by copyright, trademark, and other legal protections. Our trademarks may not be used in connection with any product or application without the prior written consent of Onward Media.

Your Feedback to Us

You assign all rights, title and interest in any Feedback You provide to Onward Media, which assignment is non-exclusive, perpetual, irrevocable, and royalty free.

Links to Other Websites

Onward Media has no control over, and is not responsible for, the content, privacy policies, or practices of any Third-Party Services, but the App may contain links to Third-Party Services. Onward Media is not and will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any Third-Party Services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

If You wish to terminate Your Account, You can request an account deletion in the Account settings.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Onward Media or the Apostolic Christian Church of America be liable for damages of any kind arising out of or in connection with Your use of AC Central.

Indemnity

You shall indemnify, defend, and hold harmless Onward Media, its officers, directors, affiliates, employees and agents, as well as the Apostolic Christian Church of America, from any third-party claims, liability, damages, and/or costs arising from Your access to or use of AC Central, or Your violation of these Terms.

Warranty Disclaimer

AC Central and all content on the App and/or Website is provided "as-is" and "as-available" without warranty of any kind, whether express, implied, statutory or otherwise.

Governing Law and Disputes Resolution

The Terms and Conditions and Your use of AC Central shall at all times be interpreted under and governed by the laws of the United States and of the State of Illinois regardless of conflict of law rules. Your use of AC Central may also be subject to other local, state, national, or international laws. You consent to the exclusive jurisdiction of the state or federal courts in Peoria County, Illinois, USA in all disputes arising out of or related to the use of AC Central.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

Onward Media and the Apostolic Christian Church of America refuse to conduct business in countries where they are not permitted to conduct business by U.S. law. If you agree to these Terms and use AC Central while located in a country that is subject to United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, then the agreement created by Your use of AC Central is null and void.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. We will post a notice on AC Central any time these Terms have been changed or otherwise updated. It is Your responsibility to review these Terms periodically.

By continuing to access or use AC Central after those revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, please stop using AC Central.
